Terms of Service
Last updated: August 26, 2026
1. Scope
These Terms of Service govern all contracts for SEO services (audits, retainer packages and consulting blocks) between SEO Gold Pro GmbH, Saarlandstraße 42, 76187 Karlsruhe, Germany (“seogoldpro,” “we,” “us”) and its business customers (“you,” “the client”). Our services are offered exclusively to businesses acting in their commercial or independent professional capacity within the meaning of § 14 of the German Civil Code (BGB) — not to consumers. By placing an order, you confirm you are ordering as a business.
2. Conclusion of contract
The packages, audits and consulting blocks published on this website, including their prices, are a non-binding invitation to order, not a binding offer on our part. Adding an item to your cart and completing checkout is your binding offer to purchase. We confirm the scope of your order by email within 1 business day; that confirmation, together with our subsequent invoice, is our acceptance and forms the contract. No payment is taken on this website itself — engagements are invoiced separately by SEPA bank transfer once scope is confirmed.
3. Services
We provide the SEO services described on this website — Local SEO, Technical SEO, On-Page & Content SEO, Link Building & Digital PR, E-Commerce SEO and International SEO — delivered as one-off audits, ongoing monthly retainers (SEO Starter, SEO Growth, SEO Scale) or prepaid Consulting Blocks, as described on the relevant service and product pages. The exact scope of each engagement is confirmed in writing after order placement, based on the information you provide about your site and goals. Any change to scope after confirmation is agreed separately in writing before we act on it.
4. Prices and payment
All prices published on this website are net prices in euros, plus statutory German VAT (currently 19%), unless stated otherwise. The price published and confirmed at the time your order is placed is the price that applies — we do not change it retroactively. If a business customer established elsewhere in the EU provides a VAT ID at checkout, the intra-Community reverse-charge procedure may apply, subject to verification, and is confirmed on your invoice.
Invoices are payable within 14 days of the invoice date, net, unless a different term is agreed in writing. For retainer packages, the first invoice covers the first month and is issued at the start of the engagement; each following month is invoiced in advance. For audits, the full fee is invoiced once scope is confirmed. For Consulting Blocks, the full block is invoiced on purchase; prepaid hours are valid for 12 months from the date of purchase, after which unused hours lapse.
5. Delivery and timelines
Indicative delivery timelines are stated on each product and service page — for example: Starter SEO Audit, first report within 10 business days of confirmed scope; Full SEO Audit, within 15 business days; retainer packages, first report within 10 business days of kickoff, then monthly; Consulting Block sessions scheduled within 5 business days of purchase. These timelines run from confirmed scope and, where relevant, from receipt of the access or information needed to begin (section 6) — delays caused by late client input extend them accordingly.
6. Client cooperation
You agree to provide, in good time, the information and access reasonably required to deliver the service — for example, read-only access to Google Search Console and Google Analytics for an audit, or CMS access where you’ve asked us to implement fixes directly on a retainer. Where your cooperation is delayed, the timelines in section 5 move accordingly, and we are not in default for the resulting delay.
7. Minimum term, notice and cancellation
Retainer packages (SEO Starter, SEO Growth, SEO Scale) run for a minimum term of 3 months from the start of the engagement, after which they continue monthly until terminated by either party with 30 days’ written notice. Audits and Consulting Blocks carry no minimum term. Full cancellation and refund terms are set out in our Cancellation & Refunds Policy, which forms part of these Terms.
8. Liability
We are liable without limitation for damage caused intentionally or through gross negligence, and for injury to life, body or health. For damage caused by slight negligence, we are liable only for breach of a material contractual obligation (a duty whose fulfilment is essential to the contract’s proper performance and on which you may reasonably rely), and in that case our liability is limited to the foreseeable damage typical for contracts of this kind. Liability under the German Product Liability Act is unaffected. We do not guarantee any specific search-engine ranking, ranking position or traffic outcome — search-engine algorithms and competitor behaviour are outside our control, and any agency claiming to guarantee a ranking would be making a claim that is both untrue and, under German competition law (UWG), not permitted.
9. Confidentiality
Both parties agree to keep confidential any non-public business, technical or strategic information disclosed during the engagement, and to use it only for the purposes of the contract, during and after its term.
10. Intellectual property
Reports, briefs, audits and written deliverables produced for you become yours to use for your business once invoiced in full. We retain our own underlying methods, templates and know-how, and remain free to use the general skills and experience gained from the engagement for other clients.
11. Data protection
Personal data is processed as described in our Privacy Policy, which forms part of these Terms.
12. Final provisions
These Terms are governed by German law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If you are a merchant (Kaufmann) within the meaning of the German Commercial Code, the exclusive place of jurisdiction for any dispute arising from this contract is Karlsruhe, Germany. Should any provision of these Terms be or become invalid, the remaining provisions stay valid. Amendments or additions to a contract must be made in writing to be effective. These Terms are provided in German and English; where the two versions conflict, the German version governs.
